Welcome to Roavo. Roavo is a trading name of Vanguard Essentials LLC, a Wyoming limited liability company. The terms "we", "us" and "our" refer to Vanguard Essentials LLC, trading as Roavo. We operate this store and website at shoproavo.com, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the "Services"). Our store is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with the policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy (shoproavo.com/policies/privacy-policy). If you do not agree to these Terms or our Privacy Policy, you should not use or access our Services.

By agreeing to these Terms, you confirm that you are at least the age of majority in your state of residence, or that you are using the Services with the involvement and consent of a parent or guardian.

To use the Services, including browsing our store or purchasing any of the products we offer, you may be asked to provide certain information, such as your email address and your billing, payment and shipping information. You confirm that all information you provide is correct, current and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

We make every effort to describe and show our products accurately. However, colors and product appearance may differ slightly from how they appear on your screen, depending on your device and its settings. Product images are illustrative.

All product descriptions are subject to change at any time without notice. We may discontinue any product at any time, and may limit the quantities of any product we offer to any person or region on a case-by-case basis.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. We may accept or decline your order at our discretion, for example because of stock availability, suspected fraud, or an address we can't ship to. Your order is accepted when we send your order confirmation email, and we must receive your payment before your order is accepted.

If we decline, change or cancel an order after you have paid, we will contact you using the email address or phone number provided with your order and refund you in full.

Returns and refunds are governed by our Refund Policy (shoproavo.com/policies/refund-policy).

You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND PAYMENT

All prices are in US dollars. Prices, discounts and promotions may change without notice. The price you pay is the price shown at the time you place your order, as set out in your order confirmation email. Shipping to the 50 US states is free. Sales tax is added at checkout where applicable.

From time to time we may run promotions with their own terms. If a promotion's terms conflict with these Terms, the promotion's terms apply to that promotion.

Payment is taken at the time of order through our payment processor. You confirm that (i) the payment information you provide is true, correct and complete, (ii) you are authorized to use that payment method, (iii) charges you incur will be honored by your card issuer or bank, and (iv) you will pay the charges you incur at the prices shown, including any applicable taxes.

SECTION 5 - SHIPPING AND DELIVERY

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers or by events outside our control, although we will always help you track down a late package as set out in our Shipping Policy (shoproavo.com/policies/shipping-policy). Title and risk of loss pass to you when we hand your order to the carrier. This does not affect our commitments in our Shipping Policy and Refund Policy for packages that are lost or arrive damaged.

SECTION 6 - INTELLECTUAL PROPERTY

The Services, including all trademarks, brands, text, images, graphics, product reviews, video and audio, and their design, selection and arrangement, are owned by Vanguard Essentials LLC or its licensors and are protected by US and international copyright, trademark and other intellectual property laws.

You may use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent.

The Roavo name, logo, product names, designs and slogans belong to Vanguard Essentials LLC. You may not use them without our prior written permission. Shopify's name and marks belong to Shopify. All other names and marks on the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

We may give you access to tools provided by third parties, which we do not monitor or control. These tools are provided "as is" and "as available", without warranties or endorsement of any kind, and we have no liability arising from your use of them. Any use of these tools is at your own risk, and you should review the terms on which they are provided by the relevant third party.

New features or tools we add to the Services in the future are also covered by these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to websites operated by third parties. We are not responsible for the content or accuracy of those websites, and you visit them at your own risk. We are not liable for any harm or damages related to your use of third-party websites, or for any products, services or content you purchase or use on them. Questions or complaints about third-party products or services should be directed to the third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Our store is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Vanguard Essentials LLC, trading as Roavo. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and us, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with us.

SECTION 10 - PRIVACY

All personal information we collect through the Services is handled in line with our Privacy Policy (shoproavo.com/policies/privacy-policy). Some personal information may also be subject to Shopify's Privacy Policy (shopify.com/legal/privacy/app-users). By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and with third parties located in countries other than where you live, in order to provide the Services to you.

If you submit reviews, ideas, suggestions or other feedback ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish and display that Feedback for any purpose, including to promote the Services. You confirm that you own or have the right to share your Feedback, that you have disclosed any compensation or incentive you received for it, and that it is honest and does not infringe anyone's rights or contain unlawful, abusive or obscene content, or malicious code. You may not use a false email address, pretend to be someone else, or mislead us or others about the origin of your Feedback.

We may, but are not required to, monitor, edit or remove Feedback that we consider unlawful, offensive or in breach of these Terms. We are not required to keep Feedback confidential, pay for it, or respond to it.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain errors or omissions relating to product descriptions, pricing, promotions, transit times or availability. We may correct any errors, update information, or cancel orders if information is inaccurate, at any time and without prior notice, including after you have placed your order. If we cancel an order you have paid for, we will refund you in full.

You also agree not to: (a) upload or transmit viruses or other malicious code; (b) copy, resell or exploit any part of the Services; (c) collect or track other people's personal information; (d) use bots, scrapers, automated tools or AI agents to access the Services except as allowed in Section 14; or (e) bypass or interfere with any security or access-control measures.

We may suspend or terminate your account at any time, without notice, if we determine that you have violated these Terms.

SECTION 14 - AUTOMATED AGENTS

If you use or allow any software that acts autonomously or semi-autonomously on your behalf (an "Agent") to access the Services, that Agent must identify itself as an Agent in its requests, must not disguise itself as a human or get around measures designed to tell humans and software apart, must answer truthfully if asked whether it is automated, and must stop accessing the Services if we ask it to. We may limit or block Agent access by technical means.

We may end these Terms or your access to the Services at any time, at our discretion and without notice. You remain liable for any amounts due up to the date of termination. The sections on intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law and any other provisions that by their nature should survive, continue to apply after termination.

Information on the Services is provided for general information only. Our 30-day money-back guarantee and the commitments in our Refund Policy and Shipping Policy apply as written.

EXCEPT AS EXPRESSLY STATED BY US, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VANGUARD ESSENTIALS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THEM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER. SOME STATES DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Vanguard Essentials LLC, Shopify, and our affiliates, members, managers, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, owed to any third party because of (1) your breach of these Terms or the documents they incorporate, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

SECTION 19 - SEVERABILITY

If any provision of these Terms is found to be unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, and the unenforceable part will be treated as removed. This will not affect the validity of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

If we fail to enforce any right or provision of these Terms, that is not a waiver of it. These Terms, together with the policies posted on this site, are the entire agreement between you and us regarding the Services, and replace any earlier agreements or versions of these Terms.

SECTION 21 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may transfer or assign our rights and obligations without notice to you.

SECTION 22 - GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. This does not take away any consumer protection rights you have under the laws of the state where you live.

The current version of these Terms is always available on this page. We may update them from time to time by posting changes here. Changes apply to orders placed after the updated Terms are posted. Your continued use of the Services after changes are posted means you accept them.
